Real, Re/Max Holdings shareholders approve merger

Securityholders of both The Real Brokerage Inc. and Re/Max Holdings Inc. voted to approve Real’s proposed acquisition of Re/Max Holdings at special meetings held Friday, moving the two companies closer to forming the Real Remax Group.

The approval follows the companies’ announcement in April of an US$880-million deal that would combine Real’s technology-powered brokerage platform with Remax’s global franchise network.

 

Vote breakdown

 

The special resolution approving the arrangement was backed by approximately 99 per cent of votes cast by Real shareholders, and 98.9 per cent of votes cast by Real shareholders, optionholders and restricted share unit holders voting together as a single class. Holders of approximately 78.8 per cent of the voting power of Re/Max Holdings common stock voted in favour.

 

Deal still subject to closing conditions

 

The transaction still requires the final order of the Supreme Court of British Columbia approving the deal, among other closing conditions. The companies expect the deal to close within the next couple of weeks.

Once complete, Real Remax Group will support more than 180,000 real estate professionals across more than 120 countries and territories. On a pro forma basis, the combined company reported about $2.3 billion in 2025 revenue and $157 million in adjusted EBITDA before synergies.

Erik Carlson, CEO of Re/Max Holdings, called the vote “an important milestone” for franchise owners and the broader network.

“This combination provides the opportunity to strengthen the value for Broker/Owners and their agents while preserving the entrepreneurial culture, local leadership and trusted Remax brand that have fuelled success for more than 50 years,” Carlson said.
